Rosenbaum

In 1992, Mr. Rosenbaum combined his 18 years of
sales and marketing expertise with 3 years of credit
and financial management to co-found MerchantSystems.com.
He held the position of VP of Sales until 1994 when
he assumed the role of the Chairman and CEO. Mr. Rosenbaum
has successfully expanded the company from a start-up
operation using only $1,000 start-up capital to a firm
employing over 50 employees. His business development
and strategic alliance strategies have produced $15,600,000
in sales in 1999, earning it a spot in the transaction
processing industry’s top tier of new account
acquiring independent sales organizations. In 1999,
Mr. Rosenbaum co-founded WCN/FreeSiteNow on behalf
of MerchantSystems.com. Mr. Rosenbaum also co-founded
IntelliPAY in 1995 and he served as its Chairman of
the Board until it was recently acquired in a stock
for stock transaction. From 1988 to 1990, Mr. Rosenbaum
owned and operated Dealer Accessory Service/Auto Electronics
Group, which he also founded. In addition, he sat on
the Board of Directors of the American Home Business
Association. Mr. Rosenbaum studied economics, mathematics
and history at Temple University and Stockton State
University.

Larry
Cohn

Prompted
by the desire to offer fast, high-quality service to
merchants, Mr. Cohn co-founded MerchantSystems.com in
1992. With 25 years of sales and management experience,
he successfully recruited and trained national sales
reps producing several million in revenues. Mr. Cohn
also established key relationships with 10 major banks
resulting in sales that have consistently ranked the
company as #1 among industry-related independent sales
organizations. In 1998, Mr. Cohn assumed the position
of Chief Operating Officer. In 1995, Mr. Cohn co-founded
IntelliPAY and sat on its Board until the company was
sold. Prior to working in the transaction processing
industry, Mr. Cohn owned and operated 3 restaurants in
the Bay Area. In 1997, Mr. Cohn had the honor of speaking
at the Governor’s Conference on Business in Salt
Lake City, Utah. He was listed in the Who’s Who
in the Northwest in 1997. Mr. Cohn earned a Bachelor
of Arts Degree in English and Education from New England
College in 1977. His written works are published in several
literary magazines, including the final issue of Britain’s
Littack Magazine, now treasured by collectors.

Richard
(Rusty) Lee Fenn, II

Mr.
Fenn joined MerchantSystems.com in 1992. He sits on the Board
of Directors. As an accomplished programmer, he is responsible
for the development of the company’s ERP and CRM systems
including an internally networked database and merchant applications
on-line computer programs. In addition, he has created our
front-end web-based application enabling our national sales
agents to obtain up-to-the-minute status reports of their
merchant’s accounts. Mr. Fenn and his team support over
100 users. Until recently, Mr. Fenn was a Principle Shareholder
and Board Member of IntelliPAY—a company valued at over
$10,000,000 upon its acquisition by Pacific Web Works. Prior
to joining USMS, Mr. Fenn was the owner of List Handlers Mailing
Services, a one-stop shop providing marketing brokerage and
direct mailing services. In 1982, Mr. Fenn earned his Bachelor
of Science Degree in Biochemistry at the Pacific Union College.
His post graduate studies involved Immunology. In addition,
Mr. Fenn studied law at the Peninsula University Law School.
